FRANKFURT, Germany: Germany's Henkel has agreed to acquire Nasdaq-listed hair care brand Olaplex for $1.4 billion, aiming to expand its presence in the premium hair care segment.
Henkel said it would offer $2.06 per share in cash, valuing Olaplex at $1.4 billion. The offer represents a premium of about 55% to Olaplex's Wednesday closing price and roughly 45% above its 30-day average.
The acquisition is expected to strengthen Henkel's position in higher-end hair care products, adding to its existing portfolio that includes brands such as Schwarzkopf.
Olaplex reported sales of $423 million in 2025, and Henkel said the company has delivered a strong gross margin.
According to Olaplex, private equity group Advent has agreed to sell its full stake in the company, which accounts for about 75%, based on Olaplex's annual report.
Olaplex's "focus on consistent quality and meaningful relationships within the professional community has resonated strongly with stylists and consumers alike," Henkel said.
Shares in Olaplex surged 50.2% to around $2 in premarket trading following the announcement, while Henkel shares were little changed in early European trading.
Henkel, which produces industrial adhesives as well as consumer goods such as Persil detergents, has a market value of about 28.5 billion euros ($33 billion), according to LSEG data.
The deal is part of a broader acquisition push by Henkel. Last month, the company agreed to buy coatings maker Stahl for 2.1 billion euros, following smaller acquisitions including the "Not Your Mother's" hair care brand and ATP Adhesive Systems.
The Olaplex acquisition marks another step in Henkel's strategy to expand its consumer brands portfolio and focus on higher-margin segments.
